1. INTELLECTUAL PROPERTY OWNERSHIP

All intellectual property (IP) created by BrightForge Digital Assets, including but not limited to images, logos, branding materials, graphic designs, website designs, website code, digital content, and any other creative or digital deliverables, remains the sole and exclusive property of BrightForge Digital Assets until payment in full has been received.

No rights, licences, or ownership of any deliverable are transferred to the client until the full invoice amount has been settled. This applies regardless of whether the work has been delivered, installed, published, or put into use.


2. USE OF DELIVERABLES PRIOR TO FULL PAYMENT

Any use of BrightForge Digital Assets’ intellectual property by a client prior to full payment being received is considered unauthorised use. BrightForge Digital Assets reserves the right to request the immediate removal or suspension of any such material until payment is made in full.


3. RECOVERY OF UNPAID ACCOUNTS

BrightForge Digital Assets reserves the right to recover any outstanding amounts through the following means:

  • Suspension or removal of any digital property, including live websites, from hosting or publication.
  • Retention of all source files, design files, and digital assets until the account is settled.
  • Sale or licensing of any digital property created for the client to a third party in order to defray costs and recover unpaid amounts.

BrightForge Digital Assets will provide reasonable written notice before exercising the right to sell or licence digital property. The client forfeits any claim to the asset upon such a sale.


4. PAYMENT TERMS

Unless otherwise agreed in writing, payment is due as stipulated on the invoice issued. Late payments may attract interest and/or a recovery fee. BrightForge Digital Assets reserves the right to withhold delivery of final files until all outstanding amounts are paid.


5. TRANSFER OF OWNERSHIP

Full ownership and all associated rights to commissioned digital assets transfer to the client only upon receipt of cleared, full payment. A written confirmation of transfer will be provided upon request once payment has been verified.


6. GOVERNING LAW

These terms and conditions are governed by the laws of the Republic of South Africa. Any disputes arising from these terms shall be subject to the jurisdiction of the South African courts.


7. ACCEPTANCE

By engaging BrightForge Digital Assets for any service, the client acknowledges that they have read, understood, and agreed to these terms and conditions in full.
